Formation of Holding Company

Votes on proposals regarding the formation of a holding company should be determined on a CASE-BY-CASE basis taking into consideration:

  • The reasons for the change

  • Any financial or tax benefits

  • Regulatory benefits

  • Increases in capital structure

  • Changes to the articles of incorporation or bylaws of the company

Absent compelling financial reasons to recommend the transaction, vote AGAINST the formation of a holding company if the transaction would include either of the following:

  • Increases in common or preferred stock in excess of the allowable maximum as calculated by the ISS Capital Structure model

  • Adverse changes in shareholder rights
